Terms of Service
Please read these Terms carefully before using Palmelle. By accessing or using this platform, you agree to be bound by these Terms in their entirety. If you do not agree, do not use this platform.
1. Parties and Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and July Blue Sky LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), governing your use of the Palmelle platform, website located at palmelle.com, and all associated services, data, and tools (collectively, the "Platform").
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use this Platform. By using the Platform, you represent and warrant that you meet these requirements. If you use the Platform on behalf of a care facility or business entity, you represent that you have authority to bind that entity to these Terms.
3. Description of Services
Palmelle is an informational senior care facility directory that aggregates and presents publicly available federal and state regulatory data to assist individuals in researching care facilities. The Platform provides AI-generated summaries, Clarity Scores derived from regulatory data, and tools to help families make informed care decisions.
Palmelle is not a healthcare provider, placement agency, or licensed referral service. All information on the Platform is provided for informational purposes only and does not constitute medical, legal, or professional advice of any kind. The Company does not guarantee the accuracy, completeness, or timeliness of any information presented on the Platform.
The Company reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice or liability.
4. Not Medical or Legal Advice
The content on Palmelle — including but not limited to facility summaries, Clarity Scores, inspection data, and AI-generated commentary — is for general informational purposes only. It does not constitute and should not be relied upon as medical advice, legal advice, financial advice, or a recommendation regarding any specific care facility or placement decision. Always consult qualified healthcare and legal professionals when making care decisions.
5. Disclosure of Referral Relationships
The Company may receive referral compensation from certain care facilities or third parties in connection with family inquiries or placements. Where such a referral relationship exists, it will be disclosed on the relevant facility profile page. The existence or absence of a referral relationship does not influence facility rankings, Clarity Scores, or the presentation of regulatory data on this Platform.
6. Facility Accounts and Claimed Profiles
Care facilities may claim their profile on Palmelle subject to the separate Facility Claim Terms, which are incorporated herein by reference. Claimed profiles are subject to an ongoing subscription fee. All claimed profile fees are governed by the Facility Claim Terms.
7. User Accounts
Certain features of the Platform may require account registration. You agree to provide accurate information and maintain the security of your credentials. The Company reserves the right to terminate accounts at its sole discretion.
8. Payments
Where the Platform charges fees (including facility subscription fees), all payments are processed by Stripe, Inc. By making any payment, you also agree to Stripe's terms of service. All fees are non-refundable except as required by applicable law or as expressly stated in the Facility Claim Terms.
9. Prohibited Conduct
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party right;
- Scrape, copy, or systematically extract data from the Platform for commercial purposes;
- Submit false, misleading, or defamatory content about any care facility;
- Impersonate any facility, individual, or organization;
- Circumvent any access control or rate-limiting mechanism;
- Use the Platform in any way that could impair its operation or integrity.
10. SMS and Text Messaging Consent
By providing your phone number and checking the SMS consent box on any Platform form, you expressly consent to receive SMS and MMS messages from July Blue Sky LLC (d/b/a Palmelle) at the phone number you provide. Messages may include concierge follow-ups, facility information, appointment confirmations, and service-related communications. This consent is not a condition of purchasing any goods or services.
Message frequency: Message frequency varies. Expect approximately 1–5 messages per month depending on your inquiry status and interactions.
Message and data rates may apply. Your mobile carrier's standard messaging and data rates apply to all text messages sent to and from Palmelle. Palmelle does not charge for text messages.
Opt-out: You may revoke your consent and stop receiving text messages at any time by replying STOP to any message. You will receive a single confirmation message and no further texts. You may also opt out by emailing privacy@palmelle.com or calling (888) 282-7256.

Supported carriers: Service is available on all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

11. Data Sources and Accuracy
Facility data on Palmelle is sourced from publicly available federal datasets (including CMS Medicare/Medicaid data) and state regulatory records, supplemented by AI-generated analysis. While we endeavor to keep data current, the Company makes no warranty that data is accurate, complete, or up to date. CMS data is updated weekly; state data update frequency varies by state. Facility profiles may contain information that is weeks or months behind the current regulatory record. Users should independently verify information before making care decisions.
12. Intellectual Property
All Platform content, scoring methodologies, AI-generated summaries, branding, design, and code are the exclusive property of July Blue Sky LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes only. No other rights are granted. Systematic or commercial use of Platform content without written permission is strictly prohibited.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT DATA IS CURRENT, COMPLETE, OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JULY BLUE SKY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON THE PLATFORM OR ANY INFORMATION THEREON, INCLUDING ANY CARE PLACEMENT DECISIONS MADE IN RELIANCE ON PLATFORM DATA.
THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
15. Indemnification
You agree to indemnify, defend, and hold harmless July Blue Sky LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or any content you submit.
16. Dispute Resolution and Arbitration
Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted in Cheyenne, Wyoming, or remotely at the Company's election. Class Action Waiver: You waive any right to participate in any class action or class-wide arbitration against the Company.
17. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions. Non-arbitrated disputes shall be brought exclusively in courts located in Laramie County, Wyoming.
18. Modifications
The Company may modify these Terms at any time with fourteen (14) days' notice. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
