These Facility Claim Terms govern the relationship between July Blue Sky LLC and any care facility or authorized representative ("Facility") that claims and manages a profile on Palmelle. By submitting a claim request, you agree to these Terms in full. These Terms supplement and incorporate the general Terms of Service.

1. Eligibility to Claim

A facility profile may only be claimed by: (a) the licensed operator of record for the facility; (b) an authorized officer, executive, or administrator of the operating entity; or (c) a third party with documented written authorization from the licensed operator. By submitting a claim, you represent and warrant that you are authorized to act on behalf of the facility.

The Company reserves the right to require supporting documentation to verify authorization. Submission of false or misleading identity information constitutes fraud and may result in legal action and permanent ban from the Platform.

2. Verification Process

All claim requests are subject to verification by the Company before a profile is transferred to claimed status. The Company will verify claimed authority using publicly available licensing records, CMS provider data, and/or requested documentation. Verification typically takes 3–7 business days. Verification timelines are not guaranteed.

The Company's determination regarding claim authorization is final. Disputed claims may be resolved by submitting documentation to facilities@palmelle.com.

3. Subscription Fees and Billing

Claimed profiles are subject to a monthly subscription fee as disclosed on the Palmelle pricing page at the time of claim. Fees are billed in advance on a recurring monthly basis via Stripe. By claiming a profile, you authorize the Company to charge the subscription fee to your designated payment method on each billing date until cancellation.

The Company reserves the right to modify subscription pricing with 30 days' written notice to the facility account email. Continued use of claimed profile features after the effective date of a price change constitutes acceptance of the new pricing.

4. Claimed Profile Features

A claimed profile provides facility representatives with the ability to: (a) add and update facility contact information, photos, and amenity descriptions; (b) post responses to publicly visible AI-generated summaries; (c) access inquiry leads submitted by Platform users; and (d) access basic analytics regarding profile views and inquiry volume.

Claimed profile features are subject to change. The Company may add, modify, or remove features at any time. Feature changes do not constitute grounds for refund of any fees paid.

5. Accuracy of Facility-Provided Content

Facilities are solely responsible for the accuracy of all content they submit or update on their claimed profile. By submitting content, you represent and warrant that: (a) the content is accurate and not misleading; (b) you have the right to submit and display the content; (c) the content does not infringe any third-party intellectual property rights; and (d) the content complies with all applicable laws and regulations, including FTC guidelines regarding advertising and endorsements.

The Company reserves the right to remove or modify any facility-submitted content that it determines, in its sole discretion, to be inaccurate, misleading, in violation of these Terms, or otherwise objectionable.

6. Regulatory Data — Not Removable

Palmelle presents publicly available federal CMS data and state regulatory data on all facility profiles, including claimed profiles. This includes inspection citations, deficiencies, penalties, staffing ratios, and quality measures. This regulatory data is not removable and will be displayed regardless of claimed profile status. The purpose of claiming a profile is to add context and engage with users — not to suppress or alter the presentation of regulatory records.

Attempts to use the claim process, legal threats, or any other mechanism to remove, alter, or suppress accurate regulatory data will be rejected and may result in immediate account termination without refund.

7. Response Content Standards

Facilities may post responses to AI-generated summaries displayed on their profile. All responses must: (a) be accurate and not misleading; (b) be respectful and professional in tone; (c) not make unsubstantiated claims; (d) not disparage competing facilities by name; and (e) comply with applicable healthcare advertising regulations, including CMS and state licensing board guidelines.

The Company may remove responses that violate these standards without notice and without refund.

8. Inquiry Lead Handling

The Company may facilitate the delivery of family inquiry leads to claimed facility profiles. Facilities agree not to: (a) share or sell lead information with third parties; (b) use lead information for purposes other than responding to the specific inquiry; or (c) add leads to marketing lists without explicit consent from the inquiring individual.

Lead volume is not guaranteed and is not a basis for refund of any subscription fees.

9. Referral Fees — Disclosure

Where Palmelle receives compensation from a facility in connection with a placement or referral, this relationship will be disclosed on the facility's profile page. The existence of a referral or subscription relationship does not affect the facility's Clarity Score, which is derived solely from federal and state regulatory data and is not available for purchase or modification by any facility.

10. Suspension and Termination

The Company may suspend or terminate a facility's claimed profile without notice and without refund in the event of: (a) violation of these Terms or the general Terms of Service; (b) submission of false identity or authorization information; (c) submission of inaccurate or misleading profile content; (d) attempts to suppress or manipulate regulatory data presentation; (e) failure to maintain current payment; or (f) at the Company's sole discretion where it determines that continued access is contrary to the interests of Platform users.

Upon termination, the facility profile reverts to unclaimed status and continues to display publicly available regulatory data.

11. Facility Indemnification

Facility representatives agree to indemnify, defend, and hold harmless July Blue Sky LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: (a) content submitted by the facility; (b) the facility's violation of these Terms; (c) any claim that facility-submitted content infringes third-party rights; or (d) the facility's violation of applicable law, including healthcare advertising regulations.

12. No Endorsement

A claimed profile on Palmelle does not constitute an endorsement, certification, or recommendation of any facility by July Blue Sky LLC. The Company does not evaluate facilities for quality of care. Regulatory data, Clarity Scores, and AI summaries are presented as informational tools and do not constitute a professional opinion regarding any facility's suitability for any individual.

13. Modifications

The Company may modify these Facility Claim Terms with 30 days' written notice. Continued operation of a claimed profile after the effective date constitutes acceptance of the revised Terms.
